Terms of Service
Thank you for using Gadura!
These Terms of Service govern your access to and use of the Gadura platform, including all websites, applications, features, tools, and related services we provide.

These Terms of Service (“Terms”) govern your access to and use of the Gadura platform, including all websites, applications, features, tools, and related services we provide (collectively, the “Services”). By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Definitions
In these Terms:
- “Creator” means a user who creates, publishes, sells, or distributes content, products, or services using Gadura.
- “End User” means any visitor, subscriber, customer, member, student, or purchaser who interacts with a Creator through the Services.
- “Content” means anything submitted, uploaded, sent, created, stored, displayed, or distributed through the Services (including websites, pages, funnels, emails, videos, files, community posts, offers, and messages).
- “Subscription Fees” means fees paid to Gadura for plan access (excluding third-party fees such as payment processing fees charged by Payment Providers).
- “Payment Provider” means a third-party payment processor supported by Gadura from time to time, including Stripe and PayPal, and any additional providers we may enable in the future.
- “Policies” means Gadura’s Acceptable Use & Content Policy, Anti-Spam Policy, Privacy Policy, Data Processing Addendum (DPA), and Copyright (DMCA) Policy (each incorporated by reference).
2. Who May Use Gadura
You must be at least 18 years old (or the age of majority where you live) to use the Services.
If you use the Services on behalf of a business or organization, you represent you have authority to bind that entity, and “you” includes that entity.
3. The Services
Gadura is a hosted SaaS platform that may include tools for websites/pages, funnels, digital products, checkout/payment integrations, email marketing, automations, communities/memberships, analytics, and integrations.
We may modify, add, remove, or discontinue features at any time, including beta features.
4. Account Registration and Security
You agree to:
- provide accurate and complete information;
- keep your credentials secure; and
- notify us promptly of unauthorized access.
You are responsible for all activity under your account, including actions taken by anyone you allow to access your account.
5. Subscriptions, Billing, and Taxes
If you purchase a paid plan:
- You authorize Gadura (via a supported Payment Provider) to charge your payment method for Subscription Fees and applicable taxes.
- Subscription billing is in advance and automatically renews unless canceled.
- You are responsible for any taxes, duties, or levies imposed on your use of the Services, except where we are legally required to collect and remit taxes.
- If payment fails, we may suspend or downgrade the account until payment is resolved.
6. 14-Day Cancellation and Refund Policy (Full Refund)
You may cancel your subscription within fourteen (14) days after your initial paid subscription purchase.
If you cancel within this 14-day window, Gadura will issue a full refund of the Subscription Fees you paid to Gadura for that subscription.
This refund applies to Subscription Fees only. It does not apply to:
- third-party charges (including Payment Provider processing fees or other third-party fees);
- chargebacks, penalties, or fines imposed by third parties; or
- separately purchased add-ons or services (unless explicitly stated at purchase).
After 14 days, Subscription Fees are non-refundable except where required by applicable law.
7. Plan Downgrades Mid-Cycle
You may downgrade your plan mid-cycle as long as your account remains within the limits of the lower plan.
A downgrade may take effect immediately and may reduce or disable features (for example: automations, email sending volume, products, admins, storage, sites, custom domains, or integrations). If you exceed the lower plan limits, we may restrict functionality until you upgrade or reduce usage.
Downgrades do not generate prorated refunds, except where required by law.
8. Payments & Payment Providers
Gadura supports payment processing through one or more Payment Providers including Stripe and PayPal.
To accept payments through Gadura (including for Creator offers/products/services), you may be required to connect and maintain an active account with a supported Payment Provider and comply with that provider’s terms, policies, and identity/verification requirements.
Payment Provider availability may vary by geography, product type, risk category, plan level, and other factors. If a Payment Provider limits, suspends, or terminates your account or your ability to receive funds, your ability to accept payments through Gadura may be impacted. Gadura is not responsible for decisions, outages, or actions taken by any Payment Provider.
9. Creator Responsibility to End Users
Creators are solely responsible for:
- the legality and accuracy of their Content, offers, claims, and marketing;
- product/service delivery, customer support, refunds, and disputes with End Users;
- ensuring required disclosures (including recurring billing/cancellation disclosures, pricing, and consumer rights); and
- moderating communities they operate.
Unless Gadura explicitly states otherwise in writing, Gadura is not a party to Creator–End User transactions.
10. Your Content: Ownership and License
You retain ownership of your Content.
You grant Gadura a limited, worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, transmit, display, and distribute your Content only as necessary to:
- operate and provide the Services;
- enforce these Terms and protect platform integrity;
- provide support;
- comply with legal obligations; and
- prevent fraud, abuse, or security threats.
You represent and warrant that you have all necessary rights to your Content and that your Content does not violate law or third-party rights.
11. Acceptable Use, Prohibited Content, and Email Rules
You agree to comply with our Policies, including the Acceptable Use & Content Policy (prohibited content and prohibited platform abuse) and Anti-Spam Policy (consent, list practices, unsubscribe handling, deliverability protection).
Because Gadura provides email sending tools, we may limit, pause, or revoke sending privileges to protect deliverability and enforce compliance.
12. Copyright (DMCA) Policy
Gadura respects intellectual property rights. If you believe content on the Services infringes your copyright, you may submit a notice under our Copyright (DMCA) Policy. We may remove or disable access to allegedly infringing material and may terminate repeat infringers.
13. Enforcement: Content Removal Without Notice; Suspension; Termination
We may, at our sole discretion and without notice, remove or restrict Content, limit or pause email sending, restrict features, suspend accounts, or terminate access if we believe it is necessary to enforce our Terms or Policies, comply with law or requests from authorities, protect users or the public, prevent fraud or abuse, address security risks, or protect the integrity and reputation of the Services (including deliverability).
14. Third-Party Services and Links
The Services may integrate with third-party services. Your use of third-party services is governed by their terms and policies. Gadura is not responsible for third-party outages, changes, suspensions, or losses.
15. Privacy, Data Protection, and DPA
Your use of the Services is also governed by our Privacy Policy and Data Processing Addendum (DPA). Where applicable, you agree to the DPA terms for processing personal data.
Creators are responsible for their own privacy notices and lawful basis for collecting and contacting End Users.
16. Data Retention and Deletion After Termination (60 Days)
After termination or cancellation, we may retain your Content and account data for 60 days for reactivation, export, fraud prevention, legal compliance, and operational purposes.
After 60 days, we may delete your Content and account data, except where we are legally required or permitted to retain it longer.
You are responsible for exporting your data before deletion.
We may retain certain information as required or permitted by law and for security, fraud prevention, dispute resolution, and enforcement purposes.
17. Security and Availability
The Services are provided on an “as available” basis. While we use reasonable safeguards, no system is perfectly secure. You are responsible for maintaining backups of important Content.
18. Disclaimers
To the maximum extent permitted by law, the Services are provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee results (including revenue, growth, deliverability, placement in inboxes, or uninterrupted availability).
19. Limitation of Liability (Cap: 1 Month; Max $250)
To the maximum extent permitted by law:
- Gadura will not be liable for indirect, incidental, consequential, special, or punitive damages, or loss of profits, revenue, data, goodwill, or business opportunities.
- Gadura’s total liability for all claims arising out of or related to the Services will not exceed the lesser of: (1) the Subscription Fees paid to Gadura in the one (1) month immediately before the event giving rise to the claim, or (2) $250.
Nothing in these Terms limits liability that cannot be limited by law (for example, certain liabilities arising from fraud).
20. Indemnification
You agree to defend, indemnify, and hold harmless Gadura from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- your Content;
- your products/services and dealings with End Users;
- your violation of these Terms or applicable law; or
- your misuse of the Services.
21. Governing Law and Venue (Wyoming)
These Terms are governed by the laws of the State of Wyoming, USA, excluding conflict-of-law principles.
You agree that any dispute will be brought in the state or federal courts located in Wyoming, unless mandatory consumer protection law in your jurisdiction requires otherwise.
22. Export and Sanctions Compliance
You may not use the Services in violation of U.S. export laws, sanctions, or embargoes. You represent that you are not located in, under control of, or a national/resident of any restricted country or on any restricted party list, where prohibited.
23. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice (for example, via email or in-app notice). Continued use after the effective date means you accept the updated Terms.
