This Partners/Affiliate Program Agreement ("Agreement") governs participation in the Gadura affiliate/partner program ("Program"). By applying to or participating in the Program, you ("Partner") agree to this Agreement.

1. Enrollment and Eligibility

Participation is subject to Gadura approval. We may accept or reject applications at our discretion. You must provide accurate information and keep your details up to date.

To participate in the Program, you must:

• Be a registered Gadura user in good standing
• Activate your affiliate account and agree to these terms
• Provide valid payout information (PayPal email or Stripe account)
• Comply with all applicable laws and regulations

2. Program Basics

You may promote Gadura using approved links, referral codes, and program materials ("Partner Links"). Commissions are earned only on qualifying referrals tracked by our systems.

Upon registration, you receive a unique referral link (e.g., gadura.com/ref/yourusername). This link tracks visitors you refer to Gadura.

3. Qualifying Referrals

A "Qualifying Referral" means a new customer who:

• Clicks your Partner Link (or uses your code)
• Signs up within 30 days of clicking (cookie duration)
• Completes payment for a paid Gadura plan
• Is not already an existing customer or referred by another partner
• Is not flagged as fraudulent or abusive

4. Commissions and Payment

Commission Rate: You receive 20% of the subscription amount paid by your referral.

Commission Duration: Commissions are calculated on each payment for 12 months from their first payment. After 12 months, you no longer earn commissions from that referral.

Holding Period: All commissions are held for 30 days before becoming available for withdrawal. This allows time for refunds or chargebacks to be processed.

Minimum Payout: You must have at least $50 USD in available balance to request a payout.

Payout Processing: Payouts are processed within 5-7 business days of your request via PayPal or Stripe.

Taxes: You are responsible for reporting and paying any taxes owed on your affiliate earnings.

5. Partner Obligations

You agree to:

• Promote Gadura honestly and accurately
• Comply with all applicable laws and advertising rules
• Include clear affiliate disclosures where required
• Follow Gadura brand guidelines
• Not hold yourself out as Gadura or our agent

6. Prohibited Conduct

You may not:

• Use spam, unsolicited emails, or misleading advertising to promote Gadura
• Bid on Gadura trademarks or brand terms in paid search advertising without permission
• Create fake accounts or self-refer to earn commissions
• Make false or misleading claims about Gadura's services
• Use cookie stuffing, ad injection, or other fraudulent techniques
• Promote Gadura on sites containing illegal, harmful, or offensive content
• Violate any applicable laws or regulations

7. Refunds and Chargebacks

If a referred customer requests a refund or initiates a chargeback:

• Pending commissions will be cancelled
• Paid commissions may be deducted from your future earnings or recovered from you

8. Brand and IP

We grant a limited, non-exclusive, revocable license to use approved Gadura assets solely to promote Gadura under this Agreement.

9. Confidentiality

Non-public Program details are confidential and may not be shared without written permission.

10. Termination

By You: You may leave the Program at any time by deactivating your affiliate account. Any pending commissions that have cleared the holding period will still be paid.

By Gadura: We may suspend or terminate your participation if you violate these terms, engage in fraudulent activity, damage Gadura's reputation, or become inactive for 12 months or more. Upon termination for cause, you forfeit any unpaid commissions.

11. Disclaimers

The Program is provided "as is." Gadura makes no guarantees about:

• The amount of commissions you will earn
• The continued operation of the Program
• The conversion rate of your referrals

12. Limitation of Liability

To the maximum extent permitted by law, Gadura's total liability will not exceed the lesser of: amounts paid to you in the preceding 12 months, or $250. No indirect or consequential damages.

13. Governing Law

This Agreement is governed by Wyoming law, with disputes brought in Wyoming courts unless mandatory law requires otherwise.

By clicking "I agree" and activating your affiliate account, you confirm that you have read, understood, and agree to be bound by these Affiliate Program Terms.
